How it works

A cap table lists who owns how many shares. Each funding round creates new shares for investors, and usually a bigger option pool for employees, so everyone else owns a smaller slice. This tool shows the new split after every round and what each slice is worth at an exit.

Exit value is simplified
Real exits pay investors' liquidation preferences first, and options are taxed when exercised or sold.

Round 1: price per share ₹3.50, 14,28,571 new pool shares, 28,57,143 shares to investors (20% after the round).
Round 2: price per share ₹13.61, 4,08,163 new pool shares, 36,73,469 shares to investors (20% after the round).

Investors usually ask for the option pool to be created before they invest, so it dilutes founders, not them.
More rounds mean more dilution, but a smaller share of a bigger company can be worth more.
For an offer, ask for the total shares outstanding so you can work out your percentage.

Standard priced-round model. For a round with pre-money V and investment I, investors get f = I ÷ (V + I) of the post-round shares. If the pool must be P of the post-round shares, post-round shares T = (S − existing pool) ÷ (1 − f − P) where S is the shares before the round; new pool shares = P × T − existing pool (never negative). Price per share = V ÷ (S + new pool shares). Exit value per share = exit value ÷ total shares; option value = (price − strike) × options. Preferences, vesting and tax are not modelled.
